By accessing or using Leadmate ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Leadmate provides an AI-powered platform for lead qualification, messaging automation, and customer engagement through various channels including Facebook Messenger, Instagram, and WhatsApp ("Platform").

The Service includes features such as:

  • AI-powered conversational agents
  • Lead qualification and management
  • Appointment scheduling automation
  • Multi-platform messaging integration
  • Analytics and reporting

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or use

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Send spam, unsolicited messages, or bulk communications
  • Harass, abuse, or harm another person
  • Impersonate any person or entity

5. AI Agent Guidelines

When using our AI-powered agents, you acknowledge and agree that:

  • AI responses are generated automatically and may not always be accurate
  • You are responsible for configuring your AI agents appropriately
  • You must not use AI agents to deceive or mislead customers
  • You must clearly disclose the use of AI when required by law
  • AI agents must comply with platform-specific guidelines (Facebook, Instagram, WhatsApp)
  • You are responsible for reviewing and approving pricing rules and automated commitments

6. Subscription and Payments

Some features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all fees according to the pricing plan you select
  • Provide valid payment information
  • Authorize automatic recurring billing
  • Accept that prices may change with notice

Subscriptions automatically renew unless cancelled before the renewal date. Refunds are provided in accordance with our refund policy.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Leadmate and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit through the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with providing the Service.

8. Third-Party Services

The Service integrates with third-party platforms and services including:

  • Meta (Facebook, Instagram, WhatsApp)
  • OpenAI
  • Payment processors (Stripe)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

9. Data Protection

We are committed to protecting your data and the data of your customers. Our data handling practices are described in our Privacy Policy.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including GDPR, CCPA, and other relevant regulations.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

IN NO EVENT SHALL LEADMATE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Leadmate and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right
  • Your content or data submitted to the Service

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia for the resolution of any disputes arising from these Terms or your use of the Service.

If you are a consumer under the Australian Consumer Law, nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies you may have under the Competition and Consumer Act 2010 (Cth) or similar state or territory legislation.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
